Changes to State Registration of Companies in Ukraine
Making changes to state registration of companies in Ukraine and Lviv is an activity, that I have been doing for more than 5 years. In this article, I have decided to describe how this is done, as well as share my practice of implementing changes to the Ukrainian companies as private entrepreneur or legal entities.
Why do we need to make changes to state registration of companies in Ukraine and Lviv
Why do you generally need to make changes to a private entrepreneur (PE) in Lviv and generally in Ukraine. Such a need may arise in cases, when you change personal data (for example, change of surname in connection with marriage), and you make changes in the type of activity (that is, the change in the Classification of types of economic activity ), or the change in the taxation system. You can make the following changes to the sole trader:
- change the surname, name and middle name;
- change location (legal adress);
- change Classification of types of economic activity;
- change the taxation system (from general to simplified taxation system or in the other way);
- change the group of simplified tax system (for example, from 1 to 3 groups, or from 2 to 1, and so on);
- change the business’s contact information in the registry.
What documents are required to make changes to a company?
In order to make changes to the information about the sole trader enough passport and identification code. On the basis of these documents, a person may either independently submit documents for the change of data, or issue a notarised power of attorney, so that its representative can make the appropriate changes.
In order to make changes to the PE, it is necessary to prepare a registration card № 11. In order to make changes to legal entity, it is necessary to prepare a registration card № 3.
If the individual entrepreneur is on a simplified tax system – additionally needs to prepare a massage to tax office. Such a notification is filed with the application for a simplified taxation system, using the section “Changes”.
Where to submit documents for amending the business information in the register?
Documents on amendments to a private entrepreneur are accepted by two authorized agency:
- CDAS (Centre for the Delivery of Administrative Services);
- Notary (private or state).
The difference between submitting a package of documents to a private notary and in the CDAS is that the notary usually works on a commercial basis, his services will be paid. It is enough to pay only administrative fee in CDAS.
Take in mind
The administrative fee for changing the Classification of types of economic activity, adding the new Classification of types of economic activity, the change of contact data – is not paid for PE, but paid for legal entities.
Administrative fee for making changes to the private entrepreneur
The administrative fee for changes to state registration of companies in Ukraine is paid only in case of changing the name of the sole trader (surname, name and middle name), or company, as well as in case of change of place of residence, that is, the registration address.
The amount of administrative fee is 0.1 amount of living wage for able-bodied citizens. As of now, the administrative fee is 180 UAH, however, it will grow in proportion to the increase in the subsistence minimum. In the near future the growth of administrative fee is planned at 10-20 UAH.
Add a VAT payer status
Your company, as well as PE and legal entity, can be a VAT payer in Ukraine. But, in real practice it is not so easy to get a VAT status, because you should keep in mind strict terms.
You can apply to VAT status every month till 10th day, after that you will get VAT status from 1th day of next month.
But mentioned information above is only relevant to common tax system payers. If you are in simplified tax system you can apply to VAT status only every quarter. Even more, you should provide your application up to 15 days before starting of the quarter.
